• Limited Liability Companies
  We especially recommend and can implement the use of Florida Land Trusts as an ideal method of acquiring and owning investment real property. We provide a specialized and complete program which, through the use of land trusts and limited liability companies, provides ownership privacy, asset protection, creditor protection, and other significant benefits to the real estate investor. Through our subsidiary fiduciary companies, we provide reliable services as Trustee of these Trusts for our clients and for all other real estate investors and lenders.

Property Law

• Real Estate Litigation
  Our focus on real estate matters includes services structuring and conducting Section 1031 tax-deferred exchanges of investment real property under the U.S. Internal Revenue Code. Our office can act as the “Qualified Intermediary,†holding the seller’s net sales proceeds in escrow until the closing on the seller’s acquisition of “Replacement Property.†At that closing, the escrowed funds are disbursed as payment for the Replacement Property and if properly done, could result in no taxable gain being recognized on the previous sale. This is often an ideal method of reinvesting property sales proceeds for the purpose of acquiring additional investment real property, allowing equity to be utilized without diminution by payment of income taxes on gains from sale.

• Estate Planning
  Upon “maturity†of the estate plan (which is a diplomatic reference to an individual’s death), we are able to assist the fiduciary and the family with efficient estate administration, whether that be as successor Trustee of a Living Trust or as Personal Representative of a probate estate.
• Wills
  As part of the estate plan and in addition to Wills, Trusts, and Durable Powers of Attorney, we provide Health Care Directives (Living Wills) for our clients, allowing them to express their wishes and give guidance to others regarding their health care choices and end-of-life decisions. The Living Will appoints someone as a “Health Care Surrogate,†to be the person’s advocate and decision maker in the event that person becomes unable to make health care decisions for themselves.

  Our firm provides estate planning services, including the preparation of Wills and Living Trusts. • Power of Attorney
  As a Civil-Law Notary, Mr. Feldman is a vested public officer with the authentication power of the State of Florida. This is not to be confused with a common-law notary public. As a Civil-Law Notary, Mr. Feldman is trained and licensed practitioner providing a full range of regulated legal services; although he holds a public office as a Civil-Law Notary, he operates in private practice with the firm of Feldman & Roback. As described above, the international practice of the firm in the Civil-Law arena includes residential and commercial conveyancing and registration, contract drafting, company formation, successions and estate planning, and powers of attorney. This also includes drafting, authenticating, and registering certain types of transactional or legal instruments. In compliance with statutory requirements, the firm also retains and keeps a minute copy of all instruments which are held in the form of a notarial protocol, in perpetuity.
